SIMPLE PROCEDURES THAT ARE TO BE FOLLOWED IN TIMELY MANNER:




A. Buyer issues ICPO



B. Seller issues draft contract or Proforma Invoice.



C. Buyer signs and seals contract or (PI) after revision and amendments if needed and returns it signed and sealed to seller.



D. Hard copies of final contract or (PI) are signed and exchanged via e-mail, DHL, *****�s choice



E. Within three(3) working days of receiving final contract, Buyer issues non-operative revolving, irrevocable, confirmed letter of credit 100% at sight.



F. Within three(3) working days upon receipt, verification, acceptance and authentication of L/C, seller�s bank issues in favour of the buyer�s bank 2% performance bond to activate the L/C.



G. Seller issues bank to bank proof of product (POP).



H. Shipments shall commence after the fulfilment of the procedures, stated above, as per the terms and conditions of this contract, and deliveries shall continue until full amount of contracted quantity.

ARTICLE 14: AGREEMENT PROCEDURES

1. Within 3-international banking days from receipt of this Agreement by the Buyer, the Buyer signs, seals and stamps the Agreement, and return it to Seller for his signature, sealing and stamping.



2. Within 3-international banking days from receipt of the Agreement from Buyer, duly signed, sealed and stamped by the Buyer, the Seller will sign, seal and stamp the Agreement and issue to the Buyer the AFFIDAVIT as per Article 13A of this Agreement .



3. Within 3-international banking days of signing and exchanging this Agreement and from receipt of the AFFIDAVIT from Seller to Buyer, the Buyer�s Bank will issue in favor of the Seller the Irrevocable, Fully Funded, Revolving Stand-by Letter of Credit as per Article 13 of this Agreement and to the value of US$ XXX, XXX, XXX (XXXX million and XXXX XXXX thousand United States Dollars). The Irrevocable Fully Funded Revolving Stand-by Letter of Credit is issued, confirmed and guaranteed by a top world prime bank acceptable to Seller, in accordance with Article 13 of the Agreement.



4. Within 7-international banking days of signing and exchanging this Agreement and from receipt of the Irrevocable Fully Funded Revolving Stand-by Letter of Credit in accordance with Article 13 of this Agreement, Seller�s Bank will issue to Buyer�s Bank the Proof of Product by SWIFT MT 799.



5. Within 10-international banking days of the receipt, verification and authentication of Buyer�s Irrevocable Revolving Stand-by Letter of Credit at Seller�s bank, the Seller will issue a 2% Performance Bond for the value of the Irrevocable Fully Funded Revolving Stand-by Letter of Credit.



6. The initial shipment of 12, 500/mt or 25, 000/mt product loads within 30-45 days from the date of receipt, verification and authentication of Buyer�s Irrevocable Fully Funded Revolving Stand-by Letter of Credit for total funds of US$ XXX, XXX, XXX (XXXX million, XXXX XXXX thousand United States Dollars) at Seller�s bank, and continues until the Agreement quantity is shipped and delivered.



7. Payment will be released to the Seller upon negotiation of shipping documents at the Seller�s bank. Partial shipments are allowed.



8. Within 21-days of Buyer and Seller signing the Agreement, the Buyer will advise the Seller in writing the particulars of the discharge ports relevant to this Agreement.

Buyer must understand that the only non-negotiable payment terms stated on the AFFIDAVIT procedures based on the

Master Contract Agreement with the mills is a TRANSFERABLE FULLY FUNDED REVOLVING STAND-BY LETTER OF

CREDIT which covers one month's shipments value. The Irrevocable Revolving Stand-by Letter of Credit should be

issued, confirmed and guaranteed by a top prime world bank acceptable to the Seller.



Seller will agree also for orders above 1Million MT the following payment options:



1. One FFTRLC for 11 months and one FFTPBG for the last ***** or

*** FFTRLC: FULLY FUNDED TRANSFERABLE REVOLVING LETTER OF CREDIT



OR


2. One ***** or

*** FFRSBLC: FULLY FUNDED REVOLVING STAND BY LETTER OF CREDIT COVERING ONE MONTH'S SHIPMENTS VALUE



OR


3. FFTPBG for the last 3 months shipments and payment TT shipment by shipment

*** FFTPBG: FULLY FUNDED TRANSFERABLE PRIME BANK GUARANTEE
