5. CONTRACT PRICE & QUANTITY:Contract period : *2 month

 PRICE FOR SUGAR DELIVERED DDP with train  IN Hungary , Slovakia :  **5 EURO / MT

PRICE FOR SUGAR DELIVERED DDP with train  IN Poland , Checks , Bulgaria  : **0 EURO / MT

6. PAYMENT TERMS:Contractual parties agree to review price at the beginning of every quarter of year (at every three months). In case of a +/*3% change of the price at the London stock exchange, parties may initiate a price change. If the extent of change reaches or exceeds +/*3%, and contractual parties fail to agree with in the new price, the extent of change shall be equivalent to the change in stock exchange rates.

1. Buyer understands that on Buyer’s part the condition of the becoming effective of the contract signed shall be an irrevocable, transferable  Cash-deposit,letter of credit,L/C opened for ...xxxxxxxxxx    ,-..eur, that is, for seller :  ...................eur, an amount equivalent to the price of ***0 Mt of goods. The beneficiary of this letter of credit shall be the business association designated as Seller herein. After opening the Cash-deposit, letter of credit,  Buyer understands that if the above condition is not fulfilled within 7 days upon signature of contract, contract will lose this buyer.

3. The price of any goods delivered to and certified to be taken over by Buyer shall immediately be subtracted/ transferred from the Cash-deposit,letter of credit L/C,

4. Buyer shall continuously keep the Cash-deposit,letter of credit, L/C filled up.

5. Buyer understands that if the Cash-deposit,letter of credit,L/C,  is not filled up hereunder and/or Seller is not able to call the equivalent of the goods delivered from it, Seller shall have the right to immediately suspend deliveries and withhold any further shipments until Buyer pays the price hereunder of any goods certified to be taken over.

If the late payment of up to *0 days, the Buyer of this contract results in termination, the Buyer acknowledges that this contract is terminated before the expiry of the Buyer to pay *5 % penalty in the pipeline.

6. Seller shall provide Buyer with 2% Performance Bond in case it fails to comply with, or delays for a period longer than *5 ( fifteen ) days to comply with any provisions herein.

 PLACE AND TIME OF PERFORMANCE :  At its own expense and risk, Seller shall hand over the first shipment of the goods ordered within *5 ( fifteen ) business days upon the opening of  Cash-deposit.letter of credit L/C,  at the destination to Buyer. In the ship goods to the Buyer pays the cost of unloading. Following this, deliveries shall be continuous during the term of contract.
