4 PRICE
ADJUSTMENT
4.1 For Fe Content:
(1) If the Fe content is above *1%, a bonus
at the rate of USD$ 2.*0 per DMT for each 1% increase shall be
applied, fractions pro-rata.
(2) If the Fe content is below *1%, a
penalty at the rate of US$ 2.*0 per DMT for each 1% decrease shall
be applied, fractions pro-rata.
(3) If the Fe content below *9%
then buyer has the right to reject the cargo or buyer shall
re-negotiate a reasonable price to accept the
cargo.
4.2 Other
Chemical Composition: If the shipment does not meet any of the chemical
specifications provided above as finally determined in accordance
with the provisions of Clause 8, the base price shall be decreased
as follows, fractions pro-rata:
(i) For excess of Silica
(SiO2),
SiO2: US$0.*5 per Dry Metric
Ton for each 0.1% in excess of 6.0%.
(ii) For excess of Alumina
(Al2O3),
Al2O3: US$0.*5 per Dry Metric Ton for each
0.1% in excess of 3.0%.
(iii) For excess of Phosphorus
(P),
P: US$0.*5 per Dry Metric Ton
for each 0.*1% in excess of 0.*9%.
(iv) For excess of Sulphur
(S),
S: US$0.*5 per Dry Metric Ton
for each 0.*1% in excess of 0.*5%.
4.3 Size:
If the Ore particle size above
0.*5 mm exceeds the respective guarantee as set forth in Clause 3
hereinabove. The Buyer shall accept such delivery of Ore by
imposing penalties at US$0.*0 (US dollar: Fifty cents only) per
Metric Ton on the excess tonnage exceeding the *0%
guaranteed.
4.4 Moisture:
In case free Moisture loss at
**5 degrees centigrade, as finally determined pursuant to the
provisions of Clause 8, would be above *2%, exceeding the
guaranteed maximum referred to in Clause 2, a penalty of USD 0.*0
per DMT shall be applied.
5 PAYMENT TERMS
5.1 Opening of the
L/C:
Within 3 working days after the
signing of the agreement the buyer shall issue an irrevocable
documentary letter of credit (the draft of the L/C should be agreed
upon by parties as per this contract terms) in favour of the seller
for an amount of **0% of shipment value. The validity of the L/C
should cover the 2% final payment latest date to be calculated and
agreed between the parties.
5.2 Payment:
Provisional
Payment:
The first payment of *8%
(ninety-eight percent) CFR shipment value will be made
on basis of loading port report both as per quantity and quality
certificates issued by SGS accompanied with documents in clause
6.
Final
Payment:
The balance payment of 2% (two
percent) due to the seller after provisional payment shall be
effected under the same L/C against seller’s final invoice
delivered through the Bank. The invoice is to be based on CIQ’s
certificates issued within *5 (seventy-five) days from the date of
Bill of Lading .
If the Certificate issued by
CIQ at the discharging port can not be forwarded to Seller by fax
within *5(seventy-five) days after date of Bill of Lading, then the
certificate at the loading ports shall be
