Registration of Wholly Foreign-Owned Enterprise (W.F.O.E.)

I.    Documents required:
1.    Identification of the investor (either A, B or C)
A.    For individual, 2 copies of the photocopy of passport are required. The photocopy shall be certified by local Chinese embassy or consulate;
B.    For foreign company, 2 copies of the photocopy of Certificate of Incorporation are required. The photocopy shall be certified by local Chinese embassy or consulate;
C.    For Hong Kong Company, 2 copies of the photocopy of Certificate of Incorporation and photocopy of Business Registration Certificate are required. The photocopy shall be notarized by a qualified Hong Kong law office.
2.    Bank credit letter original (either A, B or C in consistency with above)
A.    For individual, a letter from a bank (original 1 copies), with which has an account, stating that the account has good record or has no bad record.
B.    For an overseas parent company, a letter from a bank (original 1 copies), with which the parent company has an account, stating that the account has good record or has no bad record.
C.    For a Hong Kong parent company, a letter from a Hong Kong bank (original 1 copies), with which the parent company has an account, stating that the account has good record or has no bad record.
3.    Name list of board members and passport photocopy of shareholders, shares of the shareholders, passport photocopy of the corporate representative and 8 pieces of passport photos.
4.    Scope of business and the amount of registered capital
5.    Photocopy of the property certificate and 2 original copies of the office lease contract (requirements for office lease contract: must be stamped by the housing management office; must be signed in the name of corporate representative or one of the shareholders or the parent company; For office, term of lease minimum 1 year, *0 square meters minimum, use for business; For factory building, term of lease minimum 1 year, **0 square meters minimum, use for factory building)
6.    3 company names in Chinese
7.    Parent company's seal
8.    Permit for specific industries (the price will be discussed separately) 

II.    Registered capital minimum:
For production,service-oriented,technical company: USD**0, **0 
For trading company: USD **0,**0 
PS: Registered capital could be paid in one time and in installments. For installments, minimum *0% must be paid within 3 months after the issue of business license; the rest must be paid within 1 year. 

III. Time needed: **3 months

IV. Document received after incorporation
1.    Instrument of ratification from Foreign Trade & Economy Commission 2 copies
2.    Business license original and duplicate each 1 copy
3.    National tax registration certificate original and duplicate each 1 copy
4.    Local tax registration certificate original and duplicate each 1 copy
5.    Organization code certificate original and duplicate each 1 copy
6.    Foreign exchange registration certificate original and duplicate each 1 copy
7.    Seal (company,finance,personal)
8.    Articles of association original,photocopy of feasibility report each 1 copy
9.    Financial registration certificate
