Guarantee and Payment: ONE P.O.F for an amount equivalent to
one Month of product TO NAME:
Payment : One DLC at sight to be opened at least *5 days prior
to the start of the Laycan. Which is activated only against
shipping documents BL/SGS, etc
First Delivery: The first delivery shall be done no before
than (*0 DAYS AFTER), it´s in December Month/***2. DO NOT TEST O
TRIALS OF NEVER DELIVERY CIF MODE, NOT EVEN THE FIRST
SHIPMENT.
Delivery: Together buyer and seller will agree the loading
dates for delivery. The Delivery will be made FOB in the agreed
port. (not CIF sales).

Business Procedure:
1. Seller issue FCO.
2. Buyer confirms its interest and sends ICPO + Bank
coordinates, and P.O.F.
3. Seller sends Sale and Purchase Agreement (The Contract) to
the buyer.
4. Buyer and Seller sign electronically the SPA contract
agreement and NCNDA/IMFPA agreement. With the copy of the contract,
the Buyer sends scan of the biographic page of the passport with
evidence of company registration. Stating the name of the officers
with authorization to engage its company into contracts. This
electronic signature of the contract is binding and will become
fully operational the contract.
5. Buyer, Seller and Broker’s representative meets on the
agreed place, signs, seals, notarizes and apostille contract and
NCNDA/IMFPA, exchange copies. All parties sign five (5) Original
hard copies, Buyer and Seller will hold two (2) Originals each and
Broker will hold one Original in Bogota-Colombia.
6. Buyer, Seller and Broker Visit Mine site in order to verify
all the aspects of the mining operation and logistics.
7. The monthly delivery commence as agreed on the
contract.
Pemium and Penalties: FOB price to be increased /decreased
based guaranteed calorific value (6.**0 Kcal/Kg NAR) fraction pro
rata. No other premium /penalties shall be applied.
Others: Others terms and conditions to be mutually agreed in
the final contract. Any agreement resulting from this proposal will
become final and binding only when exceuted by authorized
individuals of both parties.
