1. SAMOA N OVERVIEW

3. COMPANY NAME
The freedom with
company name choice includes the wording such as; international,
group, industry, investment, college, association and so on. The
company name must end with one of following word
“Limited, Ltd.,Corporation, Incorporated, Societe Anonyme ,
and Sociatedad Anonima”. In order to attract Chinese
investors, the SAMOAN government allows applicants to register
their Chinese company name. The Chinese name can be revealed in
the Certificate of incorporation. An extra fee of RMB1,**0 is
charged. Inclusion of Chinese names , and a names check in
advance requires one working day.
4. DIRECTORS &
SHAREHOLDERS
At least one shareholder, one
director and one secretary is needed for a SAMOA limited company.
A native person aged above *8 years old is eligible to be listed
as a shareholder and director or both. Shareholders can also
double as a legal person, as far as corporate structure is
concerned.
5. REGISTERED CAPITAL
The registered capital
can be increased or decreased according to your need and the
stamp tax is not required. The standard registered capital is one
million USD and there is no registered capital limit. You don’t
have to pay your capital at the time the company is being set
up.
6. REGISTERED
ADDRESS
The government stipulates that
every limited company should have a registered address in SAMOA.
The registered address can be provided by TANNET if
required.
7. BUSINESS SCOPE
In principle there is
no limitation for a company’s business scope. The operation
that Enterprises can carry out include, finance and investment,
medical health care, the import & export trade, real estate,
architecture, information networks, clothing, spinning and
weaving, as well as tourism, etc.
8. REQUIRED DOCUMENTS &
PROCEDURE
The following
documents are required to incorporate a SAMOA company:
Company name; identity
certificate of director & shareholder (duplicate copy of
passport or ID); address certificate of director
&shareholder.
Procedure: Fill in the
application form→sign the confirmation letter
personally→pay the deposit→transaction with
government→finish within ****5 working
days→All the directors sign the legal
documents personally→submit the document to the SAMOAN
government for filing f→pay the additional money.

*0. BANK ACCOUNT OPENING
A SAMOAN company can
open an offshore bank account. Tannet can provide professional
services for opening bank accounts in HONGKONG. All the directors
must attend a bank and sign the documents personally. Tannet can
provide services for opening a bank account. Including:
recommendation for choice of banks to choose from, bank
preparation for the opening bank document (certified true
copies)/meeting minutes/application form/ arrange the
introduction and accompanied to the bank. Please prepare all the
necesaary documents before opening the bank account ,and deposit
cash of between HKD5,*****0,**0 in the new account.
*1. MAINTENANCE
Each year RMB***0
is required for the annual license fee. Since it’s an offshore
company and does not carry out an actual business operation, the
tax return is not required. The time of license renewal should be
before November *0th each year.
