1、Name of Shanghai RO：

The name of RO is Chinese，the company name is ended with “Shanghai Representative Office”，such as：Country + Company name+ Shanghai Representative Officeï¼›

 

2、Registered capital：

Because RO is different from the entity company, so there is no strict requirement on the registered capital.

 

3、Dispatch enterprises :

The dispatch enterprises of Shanghai RO must be set up on other countries except China; the dispatch enterprises have been set up for at least two years.

 

4、Registered address：

It is very strict with the registered address of RO; the registered address must be foreign-related office building.

 

5、Business scope：

RO is a business liaison in China on behalf of parent company. So RO can not do business directly, which usually specifies in the business scope, as showed in the business license of RO. RO is not allowed to directly engage in operational activities and sign contracts or deals on behalf of the parent company, so it only can engage in the indirect commercial activities. (1)、Application form from Administration of Industry and Commerce for establishing RO (original)；

(2)、The Certificate of Incorporation of the Foreign Company (It should be notarized by your notarization Department and endorsed by local China Embassy)；

(3)、Foreign (regional) enterprise articles of association or organization agreement(It should be notarized by your notarization Department and endorsed by local China Embassy)

(4)、The original bank reference letter  (It should be notarized by your notarization Department and endorsed by local China Embassy)ï¼›

(5)、The application letter from parent company (RO’s name, registered address, the name of the chief representative , business scope, residence term etc.)

(6)、The appointment letter for the Chief Representative and General Representative, their copy of passport ,resume and five photos for the Chief Representative and General Representative. If Chinese people will be the Chief Representative and General Representative, they should provide the dispatched letter that issued by Foreign Service Unitsï¼›

(7)、Contract of rent (2copies)；

(8)、2 copies of house-owner certificate（lessor's signature or seal）；

(9)、The original lease contract（or copy）；

(*0)、Original certificate of residence for office location ；

Note: 2 to 6 items shall be approved by the foreign enterprise belong to file countries or regions notary agency and has the right to authentication, and by the People's Republic of China in the country (or hosting the region) consulate authentication.
